Introduction and Scope

These Terms & Conditions ("Terms") govern your access to and use of the Bholi.ai platform, website, mobile applications, and related services (collectively, the "Service"), operated by Kaslane Tech & Entertainment Pvt Ltd ("Bholi.ai", "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, having its registered office at OFF NO-412, JOP Plaza P-2, Sector-18, Noida, UP- 201301.

By accessing or using the Service, creating an account, or making a payment, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature.

The Terms are organised into five parts: (1) The Service & Your Account, (2) Payments, Plans & Refunds, (3) Content, Privacy & Data Protection, (4) Legal Terms & Protections, and (5) Grievance, Governing Law & Contact.

The Service & Your Account

1. Definitions

  1. "User" / "Account Holder" — a photographer, studio, organisation, or individual who registers for and uses the Service.
  2. "Recipient" / "Guest" — any person who receives, accesses, or downloads files, photos, or galleries shared through the Service.
  3. "Content" — any photos, videos, documents, files, or other material uploaded to, shared through, or collected via the Service.
  4. "Face Data" — facial feature data used by the Service's face-search and grouping features.
  5. "DPDP Act" — the Digital Personal Data Protection Act, 2023, and rules made thereunder, as applicable.

2. Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to register for an Account. By using the Service, you represent that you meet these requirements and that all information you provide is accurate and current.

3. The Service

Bholi.ai is a platform for photographers and event professionals to collect, deliver, and protect files and event photos. Features may include secure file transfer, branded upload inboxes, event photo galleries, AI-powered face search and photo grouping, PIN protection, link expiry, watermarking, custom branding, and a mobile application. We may add, modify, or discontinue features at any time.

4. Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorised use. You are solely responsible for the Content you upload, share, or collect, and for ensuring you have all necessary rights and consents to do so (see Clauses 8 and 9).

Payments Plans & Refunds

5. Subscription Plans, Fees and Payments

5.1 Certain features require a paid subscription or one-time fee. Applicable charges, billing cycles, and plan limits are displayed at the point of purchase.

5.2 Payment processing. Payments are processed through third-party payment aggregators/gateways authorised by the Reserve Bank of India (e.g., [Razorpay / Paytm, PhonePe etc.]). We do not store your complete card or banking details on our servers; such data is handled by the payment gateway in accordance with applicable RBI guidelines and PCI-DSS standards. Your use of a payment gateway is subject to that provider's own terms and privacy policy.

5.3 Taxes. All fees are exclusive of applicable taxes (including GST), which will be charged additionally as required by Indian law.

5.4 Recurring payments. Where you opt for auto-renewing subscriptions, recurring charges are processed in accordance with applicable RBI guidelines on recurring transactions (including additional-factor authentication and pre-debit notifications, where required). You may cancel auto-renewal as described in Clause 6.

5.5 Currency. Fees are charged in [INR / applicable currency]. International cards may be subject to conversion charges by your bank.

6. Refunds and Cancellation

6.1 You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing cycle, and you retain access until then.

6.2 Except where required by law, fees already paid are [non-refundable / refundable within 3 days of purchase if the Service has not been substantially used]. Refund requests may be made to connect@bholi.ai and, if approved, will be processed to the original payment method within 10 business days.

6.3 This policy is in addition to your rights under the Consumer Protection Act, 2019 and rules thereunder.

Content, Privacy & Data Protection

7. User Content, Licence and Acceptable Use

7.1 Ownership. You retain all ownership rights in the Content you upload. We do not claim ownership of your Content.

7.2 Licence to operate the Service. You grant us a limited, non-exclusive, royalty-free licence to host, store, process, transmit, display, and create technical derivatives of your Content solely to provide and operate the Service (for example, generating thumbnails, applying watermarks, enabling downloads, and powering face search). This licence ends when the Content is deleted, subject to reasonable backup retention and legal requirements.

7.3 Your representations. You represent and warrant that you have obtained all rights, permissions, and consents necessary to upload and share the Content (including from the individuals depicted), and that the Content does not infringe any third-party rights or violate any law.

7.4 Prohibited use. You must not use the Service to upload, share, or collect Content that is unlawful, obscene, defamatory, infringing, harmful to minors, or otherwise prohibited under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. You must not attempt to breach security, misuse face-search features, or access Content you are not authorised to access.

8. Face Search and Biometric Data

8.1 The Service offers optional AI features that allow Guests to find photos they appear in by submitting a selfie, and that group photos by person. Where available, face matching may run on the Guest's own device, in which case the selfie is processed locally and is not uploaded to our servers.

8.2 Face Data is processed only to provide these search and grouping features for the relevant event, is not used to identify individuals across unrelated events, and is not sold.

8.3 As an Account Holder, you are responsible for obtaining the necessary consents from the individuals depicted in your Content for the processing of their Face Data through the Service, in accordance with the DPDP Act and other applicable law.

8.4 Face Data and search results are retained only as long as necessary and are deleted in accordance with our Privacy Policy and applicable law, including upon deletion of the associated event.

9. Children's Data

The Service is intended for use by adults. Where Content includes photographs of children (for example, school or graduation events), the Account Holder is responsible for obtaining verifiable parental or guardian consent as required under the DPDP Act before uploading, processing, or sharing such Content, and for handling children's personal data with the additional care the law requires. We do not knowingly allow children to create Accounts.

10. Privacy and Data Protection

10.1 Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

10.2 We process personal data in accordance with the DPDP Act, 2023, the Information Technology Act, 2000, and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, as applicable.

10.3 In providing the Service, the Account Holder is typically the Data Fiduciary in respect of their Content, and Bholi.ai acts as a Data Processor processing such data on the Account Holder's instructions. We process personal data of Data Principals (including Guests) only to provide the Service and as permitted by law.

10.4 Data Principals may exercise their rights (including access, correction, and erasure, where applicable) as described in our Privacy Policy.

11. Security

We implement reasonable security practices and procedures designed to protect Content, which may include encryption in transit and at rest (AES-256), PIN protection, expiring links, and access controls. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. You use the Service at your own risk and are responsible for the access controls (such as PINs) you apply to your shares.

12. Recipients and Guests

Recipients and Guests who access shared Content must comply with these Terms and any access conditions (such as PINs) set by the Account Holder. Where a Guest uses face search, they consent to the processing described in Clause 8. Guests must not redistribute Content beyond the access granted by the Account Holder.

Legal Terms & Protections

13. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding User Content), is owned by or licensed to the Company and is protected under applicable intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of the Service without our prior written consent.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by you to us in the [three (3) months] preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

16. Indemnification

You agree to indemnify and hold harmless the Company and its directors, officers, and employees from any claims, damages, or expenses arising out of your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party rights (including failure to obtain required consents).

17. Term, Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or applicable law. You may stop using the Service at any time. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Clauses 7.2, 13, 14, 15, and 16) will survive

Grievance , Governing LAW & Contact

18. Intermediary Status and Grievance Redressal

18.1 To the extent we host User Content, we act as an "intermediary" under the Information Technology Act, 2000, and observe due diligence under the Intermediary Guidelines, 2021. We do not initiate, select, or modify User Content except as needed to operate the Service.

18.2 Content takedown. If you believe Content on the Service is unlawful or infringes your rights, contact our Grievance Officer (Clause 19). We will act on valid complaints within the timelines prescribed by law.

18.3 We may remove Content or suspend Accounts that violate these Terms or applicable law.

19. Grievance Officer

We will acknowledge complaints within 48 hours and aim to resolve them within the timelines prescribed by law (generally within 15 days, or as applicable).

20. Governing Law, Jurisdiction and Dispute Resolution

20.1 These Terms are governed by the laws of India.

20.2 Subject to Clause 20.3, the courts at Noida, U.P, India, shall have exclusive jurisdiction.

20.3 Any dispute shall first be attempted to be resolved amicably. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996; the seat and venue of arbitration shall be Noida, India, and the proceedings shall be conducted in English.

21. International Users

The Service is operated from India and is primarily intended for users in India. If you access the Service from outside India, you do so on your own initiative and are responsible for compliance with your local laws. Your personal data may be processed and stored in India and in other locations where our service providers operate, subject to applicable law and our Privacy Policy. The Service is not directed to any jurisdiction where its provision would be unlawful.

22. Changes to the Terms or Service

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.

23. Miscellaneous

23.1 Severability. If any provision is held invalid, the remaining provisions remain in effect. 23.2 Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service. 23.3 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. 23.4 Waiver. Failure to enforce any right is not a waiver of that right. 23.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. 23.6 Notices.
